Job Purpose : Legal Officer / Manager (Contracts & Compliance)
The Legal Officer / Manager (Contracts & Compliance) leads and oversees contract review, legal advisory, and corporate compliance matters across the Group. The role is responsible for ensuring that business activities, contracts, and governance processes comply with applicable local and international laws, company policies, and group standards, while providing practical and business-oriented legal support to stakeholders across regions.
This is a mid-senior level, hands-on role with both advisory and operational responsibilities.
Key Responsibilities: A. Contracts Management & Legal Advisory
Lead and oversee drafting and review of:
o NDAs and confidentiality agreements
o Customer, vendor and partner contracts
o Reseller / channel / distribution agreements
o Professional services and consultancy agreements o Software licensing, SaaS, and subscription agreements
Identify and assess legal, commercial, financial and compliance risks.
Recommend negotiation positions and risk mitigation strategies to stakeholders.
Ensure contracts comply with:
o Applicable local and international laws and regulations
o Company policies and internal controls
o Group legal & governance standards
Provide guidance on contract interpretation, obligations, and dispute avoidance.
B. Compliance, Governance & Internal Controls
Support and strengthen corporate governance and compliance frameworks, including:
o Contract approval & delegation of authority
o Internal policy & SOP development
o Cross-entity / cross-border compliance alignment
Monitor legal and regulatory developments relevant to the business.
Support risk management, internal control reviews, and compliance reporting.
Participate in due diligence, audit exercises, and regulatory reviews.
C. Documentation, Policy & Records Management
Oversee a structured contract repository / legal document management system.
Track:
o Contract renewals and expiries
o Key obligations and milestones
o Approval and compliance records
Ensure documentation is accurate, consistent, and audit-ready.
Job Requirements: Qualifications
Bachelor’s Degree in Law / LLB or equivalent.
Admission to practice law is an advantage. Experience
6–10 years of relevant experience in: o Contract review / commercial legal advisory, and/or o Corporate governance / compliance roles
Experience in:
o Technology / software / cybersecurity / SaaS
o Regional or multi-entity organisations is an advantage.
Prior in-house counsel experience is preferred.
(Secondary Role) Finance or HR background / exposure (e.g., audit and accounting support, compliance / headcount reporting, documentation support) will be considered an added advantage.
